Adero Terms of Use

1. What Adero Is#

Adero is an artificial-intelligence companion service designed to provide personalized conversations with AI companions that can maintain context and learn from information you choose to share over time.

Adero companions are AI, not people.

They do not have human consciousness, emotions, experiences, judgment, professional qualifications, or personal relationships with users, even when their language may sound natural, caring, familiar, emotional, humorous, opinionated, or personal.

Adero companions may remember information you share and use it to personalize future conversations. Their responses are generated by automated systems and can be inaccurate, incomplete, inappropriate, inconsistent, outdated, or entirely wrong.

You should use Adero with this understanding.

2. Eligibility - Adults Only#

You must be at least 18 years old to use Adero.

By creating an account or using the Service, you represent that:

you are at least 18 years old;

you have the legal capacity to enter into these Terms; and

your use of Adero is permitted under applicable law.

Adero does not currently require users to submit a birth date, government identification, or other proof of age as part of the ordinary account-creation process. The absence of an age-verification mechanism does not waive the 18+ requirement.

Adero is intended solely for adults age 18 and older. We do not knowingly permit individuals under 18 to use the Service. If we become aware that an account is being used by someone under 18, we may take appropriate action, including restricting or terminating access and addressing associated personal information as required by applicable law.

3. United States Availability#

Adero V1 is currently offered for use in the United States only.

Certain features, safety information, subscription arrangements, legal disclosures, and third-party services have been designed for U.S. users and may not be appropriate or available outside the United States.

We may expand Adero to additional countries or territories in the future, subject to applicable legal, safety, platform, and operational requirements.

4. Your Adero Account#

You may need an account to use Adero.

You are responsible for maintaining the confidentiality and security of your account credentials and for activity occurring through your account.

Adero asks what you would like your companions to call you. You may provide a first name, nickname, initials, or another name you prefer. You are not required to provide your legal name merely for this purpose.

You may not:

impersonate another person in a deceptive or unlawful manner;

create an account for someone under 18;

transfer or sell your account;

use another person's account without authorization; or

attempt to circumvent account restrictions or security measures.

Please contact us if you believe your account has been compromised.

5. AI Companions Are Not Human#

Adero companions may communicate in ways that feel personal or emotionally responsive.

That experience does not mean a companion is human.

Adero companions:

are artificial-intelligence systems;

do not possess consciousness or human feelings;

do not independently know whether something they say is true;

may misunderstand what you tell them;

may forget or incorrectly remember information;

may make incorrect inferences about you or other people;

may generate fictional or inaccurate information;

may respond inconsistently across conversations; and

cannot independently verify most information provided during a conversation.

A companion's apparent confidence, empathy, familiarity, personality, or emotional expression should not be interpreted as evidence that its statements are accurate or that it possesses human understanding.

6. Adero Is Not a Professional Service#

Adero is an AI companion service. It is not a substitute for qualified professional services.

Adero and its companions are not acting as your:

physician or healthcare provider;

psychologist, psychiatrist, therapist, counselor, or other mental-health professional;

emergency responder or crisis service;

attorney;

accountant;

financial adviser, investment adviser, or fiduciary;

social worker or case manager; or

other licensed or regulated professional.

Conversations may touch on health, emotional well-being, relationships, money, employment, legal issues, family matters, or other important subjects. That does not transform Adero into a professional service.

You should obtain appropriate professional advice when a decision requires professional judgment.

Do not delay or disregard professional care or assistance because of something an Adero companion says.

7. Emergencies, Crisis Situations and Safety Systems#

Adero is not an emergency service.

Do not rely on Adero to detect, monitor, prevent, or respond to an emergency.

If you or another person is in immediate danger, call 911 or contact appropriate local emergency services.

In the United States, if you or someone else is experiencing a suicide, mental-health, or substance-use crisis, you may call or text 988 to reach the 988 Suicide & Crisis Lifeline.

Adero may use automated safety systems intended to recognize certain potentially dangerous or crisis-related conversations and influence how the Service responds.

These systems are imperfect. They may:

fail to recognize an emergency;

misunderstand what a user means;

identify a risk where none exists;

respond inappropriately;

provide incomplete information; or

otherwise fail to respond appropriately to a particular situation.

Adero does not guarantee that a safety system will identify or respond appropriately to any particular situation.

You should never rely on Adero as your sole source of assistance in a crisis.

8. Your Decisions and Reliance on Adero#

You remain responsible for decisions you make based on information or conversations provided through Adero.

Before acting on information involving significant health, safety, legal, financial, employment, relationship, or other consequences, you should independently evaluate the information and obtain appropriate professional assistance where warranted.

AI-generated information should not be assumed to be correct merely because it is stated confidently or repeatedly.

To the extent permitted by law, MntraAI is not responsible for decisions you make based solely on AI-generated content where the limitations described in these Terms were applicable.

Nothing in this section limits rights or remedies that cannot lawfully be waived.

9. Personalization, Memory and Inferences#

Adero is designed to become more personalized over time.

The Service may process your conversations to create or maintain:

memories;

preferences;

interests;

goals;

life context;

information about people you mention;

relationship or conversation context;

interaction history;

safety classifications;

embeddings used for information retrieval; and

other information or inferences used to personalize your experience.

These systems can make mistakes.

A memory, classification, or inference maintained by Adero should not be interpreted as an authoritative factual record about you or another person.

10. Information About Other People#

You may discuss other people while using Adero.

You are responsible for exercising appropriate judgment about information you provide concerning other people, particularly confidential, intimate, financial, medical, identifying, or otherwise sensitive information.

Do not use Adero to unlawfully obtain, disclose, exploit, threaten, harass, or distribute another person's private information.

The fact that Adero can remember information you provide does not give you a right to provide information that you are prohibited by law or contractual obligation from disclosing.

11. Your Content#

"Your Content" means information you submit to Adero, including messages and other material you intentionally provide through the Service.

As between you and MntraAI, you retain whatever rights you lawfully hold in Your Content.

You grant MntraAI a non-exclusive, worldwide license to host, store, reproduce, process, analyze, transmit, modify, and otherwise use Your Content only as reasonably necessary to:

provide and personalize Adero;

maintain, secure, and operate the Service;

provide safety-related functionality;

improve the Service;

comply with applicable law; and

enforce these Terms.

This license permits technical processing by service providers acting on our behalf.

It does not transfer ownership of Your Content to MntraAI.

You represent that you have the rights necessary to provide Your Content and permit its processing as described in these Terms and our Privacy Policy.

12. AI-Generated Content#

Adero produces text and other outputs using artificial-intelligence systems ("AI Output").

Because AI systems can produce similar responses for different users, AI Output may not be unique.

To the extent permitted by applicable law and subject to third-party rights, you may use AI Output generated for you for lawful personal purposes.

MntraAI does not represent or warrant that:

AI Output is unique;

AI Output is accurate;

AI Output is complete;

AI Output is free of third-party rights;

AI Output is suitable for a particular purpose; or

intellectual-property rights will exist in any particular AI Output.

You are responsible for evaluating AI Output before publishing it, relying upon it, or using it in a manner that could affect another person.

13. Acceptable Use#

You may use Adero only for lawful purposes and in accordance with these Terms.

You may not use Adero to:

violate applicable law;

exploit, harm, threaten, stalk, or harass another person;

facilitate sexual exploitation or abuse;

create or distribute unlawful sexual content;

facilitate human trafficking;

encourage or facilitate violence or serious physical harm;

develop, obtain, or deploy malicious software;

compromise accounts, networks, devices, or security systems;

conduct fraud, scams, identity theft, or deceptive schemes;

unlawfully collect or disclose personal information;

infringe intellectual-property, privacy, or other rights;

interfere with Adero's operation or another user's access;

bypass technical, safety, subscription, usage, or security controls;

reverse engineer the Service except where applicable law expressly permits it;

use automated methods to scrape or extract data from Adero without authorization;

probe or exploit vulnerabilities without authorization;

provide unauthorized third parties access to the Service; or

use the Service in a manner that creates unreasonable security, legal, operational, or safety risks.

We may investigate suspected misuse and restrict or terminate access where reasonably necessary to protect users, MntraAI, our providers, or others.

14. Privacy and AI Processing#

Our Privacy Policy describes how we collect, use, retain, disclose, and delete personal information.

Our AI Disclosure provides additional information about the nature and limitations of Adero's AI companions.

By using Adero, you acknowledge that providing the Service requires automated processing of information you submit.

This processing may involve third-party technology and infrastructure providers, including providers of artificial-intelligence, database, authentication, subscription, platform, and related services.

Current material service providers and relevant processing practices are described in our Privacy Policy.

15. Adero Monthly Subscription#

Adero V1 offers a subscription called Adero Monthly.

The subscription price is currently:

$49.99 per month

unless a different price is displayed to you by Apple before purchase.

The price presented by the App Store at the time you confirm a transaction controls your purchase.

Applicable taxes may be added.

16. Automatic Renewal#

Adero Monthly is an automatically renewing subscription.

Unless you cancel before renewal in accordance with Apple's requirements, your subscription automatically renews for another subscription period and your Apple account will be charged the applicable subscription price.

Apple manages billing and renewal for subscriptions purchased through the iOS App Store.

You can manage or cancel your subscription through your Apple account's subscription settings.

Deleting the Adero application from your device does not cancel your subscription.

Deleting your Adero account and canceling your Apple subscription are also separate actions. If you wish both to delete your Adero account and stop future subscription renewals, you should complete both actions.

17. Cancellation#

You may cancel an automatically renewing subscription through Apple.

Cancellation ordinarily prevents the next renewal. Unless Apple provides otherwise, you generally retain subscription access through the end of the period you have already purchased.

Adero does not control Apple's billing interface or the timing of Apple's subscription-management systems.

18. Restore Purchases#

Adero provides a Restore Purchases function for eligible App Store purchases.

Restoration depends on transaction information and entitlement status available through Apple and Adero's subscription infrastructure.

Restoring purchases does not create an entitlement that was not purchased or otherwise validly obtained.

19. Refunds#

Purchases made through Apple's App Store are subject to Apple's applicable payment and refund policies.

MntraAI generally cannot independently issue an App Store refund where Apple controls the transaction.

Nothing in these Terms limits refund or cancellation rights provided by applicable law.

20. Subscription Changes#

MntraAI may change subscription offerings, features, or pricing in the future.

Any price change affecting an automatically renewing App Store subscription will be handled subject to Apple's applicable requirements and applicable law.

We will not retroactively change the price of a completed billing period.

21. Service Availability#

We want Adero to be available reliably, but we do not guarantee uninterrupted operation.

Adero may occasionally be unavailable because of:

maintenance;

software defects;

network conditions;

third-party provider outages;

capacity limitations;

security incidents;

upgrades;

changes to AI models or infrastructure;

legal or regulatory requirements; or

events outside our reasonable control.

AI models and other technology used by Adero may change over time. Such changes may affect response style, capabilities, performance, or behavior.

22. Changes to Adero#

Adero is an evolving service.

We may add, modify, replace, suspend, or discontinue features when reasonably necessary to improve or operate the Service, address safety or security concerns, comply with law, respond to third-party changes, or develop Adero.

We do not guarantee that any particular companion, feature, model, interface, or capability will remain available indefinitely.

Where a change materially affects a paid subscription, we will comply with applicable law and applicable platform requirements.

23. Intellectual Property#

Adero, including its software, branding, interfaces, companion designs, characters, names, graphics, logos, documentation, and other materials provided by MntraAI, is owned by MntraAI or its licensors and is protected by intellectual-property laws.

Except for rights expressly granted under these Terms, MntraAI retains its rights in the Service.

You may not use Adero's trademarks, companion identities, branding, or proprietary materials in a manner that falsely suggests endorsement, affiliation, sponsorship, or ownership.

These Terms do not grant you ownership of the Adero platform or its companion identities.

24. Feedback#

If you voluntarily provide suggestions, ideas, feedback, or recommendations concerning Adero, you permit MntraAI to use that feedback without restriction or compensation to you.

This provision does not give MntraAI ownership of your private conversations merely because they contain an opinion about Adero.

25. Third-Party Services#

Adero depends on third-party services and technology.

These may include Apple, Supabase, Anthropic, OpenAI, RevenueCat, and other infrastructure or technology providers described in our Privacy Policy.

Third-party services may be governed by their own terms and privacy practices.

MntraAI is not responsible for independent third-party products or services outside our control, except to the extent responsibility cannot lawfully be excluded.

26. Account Suspension and Termination#

We may suspend, restrict, or terminate an account when reasonably necessary because of:

material or repeated violation of these Terms;

fraud or attempted fraud;

unlawful activity;

misuse of Adero;

threats to users or others;

security risks;

attempts to compromise or abuse the Service;

nonpayment or loss of required entitlement;

legal requirements; or

circumstances in which continuing to provide the Service would create unreasonable legal, security, or operational risk.

Where appropriate, we may provide notice or an opportunity to address the issue.

Some circumstances, particularly security, fraud, abuse, or legal requirements, may require immediate action.

27. Ending Your Use of Adero#

You may stop using Adero at any time.

Stopping use of the application does not itself cancel an automatically renewing Apple subscription.

If you no longer want your subscription to renew, cancel it through Apple.

If you want your Adero account and associated ordinary personal data deleted, use the Delete Account function available in Adero.

28. Data After Subscription Access Ends#

Ending subscription access does not necessarily immediately delete your Adero account or data.

As described more fully in our Privacy Policy, ordinary Adero account, conversation, memory, and personalization data may generally be retained for up to 12 months after paid or otherwise authorized access ends, unless:

you delete your account sooner;

a longer period is required by law; or

limited information must be retained for legitimate legal, financial, security, fraud-prevention, or dispute-resolution purposes.

Account deletion is separate and is designed to remove or de-identify ordinary user data without waiting for that post-access period, subject to the limited exceptions described in the Privacy Policy.

Certain information may also remain temporarily in backup systems until those backups are overwritten or expire according to applicable backup-retention processes.

29. Disclaimer of Warranties#

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ADERO IS PROVIDED "AS IS" AND "AS AVAILABLE."

MntraAI disclaims warranties that may otherwise apply, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, to the extent those warranties may lawfully be disclaimed.

Without limiting the foregoing, MntraAI does not warrant that:

Adero will always be available;

Adero will be error-free;

AI Output will be accurate or complete;

companions will correctly understand you;

memories, classifications, or inferences will always be correct;

safety systems will identify every dangerous situation;

the Service will meet every user's expectations; or

every defect will be corrected.

Some jurisdictions do not permit certain warranty exclusions. In those jurisdictions, these exclusions apply only to the extent permitted by law.

30. Limitation of Liability#

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MNTRAAI LLC AND ITS AFFILIATES, OFFICERS, MEMBERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO ADERO, EVEN IF ADVISED THAT SUCH DAMAGES MAY BE POSSIBLE.

To the maximum extent permitted by applicable law, MntraAI's aggregate liability arising out of or relating to Adero or these Terms will not exceed the greater of:

(a) the amount you paid for Adero during the 12 months immediately preceding the event giving rise to the claim; or

(b) US $100.

These limitations do not apply where liability cannot lawfully be limited or excluded.

Nothing in these Terms excludes or limits liability to the extent such exclusion or limitation is prohibited by applicable consumer-protection or other law.

31. Indemnification#

To the extent permitted by applicable law, you agree to indemnify and hold harmless MntraAI LLC and its officers, members, employees, contractors, and affiliates from third-party claims, damages, liabilities, costs, and reasonable legal expenses arising from:

your unlawful use of Adero;

Your Content where you lacked the right to provide it;

your material violation of these Terms; or

your infringement or violation of another person's rights.

This obligation does not apply to the extent a claim results from MntraAI's own unlawful conduct, negligence, or other conduct for which indemnification cannot lawfully be required.

32. Governing Law#

Except where applicable law requires otherwise, these Terms and disputes arising from them are governed by the laws of the State of California, without regard to conflict-of-laws principles.

Mandatory consumer protections available under applicable law are not displaced where they cannot legally be waived.

33. Dispute Resolution#

Before commencing formal legal proceedings, you and MntraAI agree to make a reasonable good-faith effort to resolve a dispute informally.

To begin the informal process, you may send written notice describing the dispute and the relief requested to:

MntraAI may contact you using the email address associated with your Adero account.

If a dispute cannot be resolved informally, either party may pursue available remedies in a court of competent jurisdiction, subject to applicable law and Section 32 (Governing Law).

Nothing in this section prevents either party from seeking relief where immediate action is permitted or required by law.

34. Apple App Store Terms#

If you obtain Adero through Apple's App Store, you acknowledge and agree that:

these Terms are between you and MntraAI, not Apple;

MntraAI, not Apple, is responsible for Adero and its content;

Apple has no obligation to provide maintenance or support services for Adero except as required by applicable law;

if Adero fails to conform to an applicable warranty, you may notify Apple, and Apple may refund the purchase price, if any, as required under its applicable policies;

to the maximum extent permitted by law, Apple has no other warranty obligation concerning Adero;

MntraAI, not Apple, is responsible for addressing claims relating to Adero, including product-liability claims, legal or regulatory claims, and claims arising under consumer-protection or privacy law, to the extent applicable;

MntraAI, not Apple, is responsible for investigating, defending, settling, and resolving claims that Adero infringes third-party intellectual-property rights;

you represent that you are not located in a country subject to a U.S. Government embargo or designated by the U.S. Government as a "terrorist supporting" country and that you are not listed on a U.S. Government prohibited or restricted-party list;

you must comply with applicable third-party terms when using Adero; and

Apple and its subsidiaries are third-party beneficiaries of these Terms with respect to your use of the iOS application and may enforce applicable provisions against you.

35. Electronic Communications#

By using Adero, you agree that we may provide notices relating to the Service electronically, including through the application, email, or our website, where permitted by law.

You are responsible for maintaining account information sufficient to receive notices that we are legally permitted to provide electronically.

36. Changes to These Terms#

We may update these Terms as Adero evolves.

When we do, we will update the Last Updated date.

For material changes, we will provide notice or obtain agreement where required by applicable law.

Changes will not retroactively eliminate rights that have already accrued where doing so would be prohibited by law.

If you do not agree to updated Terms, you should stop using Adero and cancel any subscription you do not wish to renew.

37. Severability#

If a provision of these Terms is found unenforceable, that provision will be enforced to the maximum extent permitted by law or, where appropriate, severed from these Terms.

The remaining provisions will remain in effect unless applicable law requires otherwise.

38. No Waiver#

If MntraAI does not immediately enforce a provision of these Terms, that does not waive our right to enforce it later.

A waiver on one occasion does not constitute a waiver on another occasion.

39. Assignment#

You may not assign or transfer these Terms or your Adero account without MntraAI's consent.

MntraAI may assign these Terms in connection with a merger, acquisition, corporate reorganization, financing, sale of assets, or similar transaction, or to an affiliate or successor, subject to applicable law.

40. Entire Agreement#

These Terms, together with the Privacy Policy, AI Disclosure, applicable subscription disclosures, and any additional terms expressly presented for a particular Adero feature, constitute the agreement between you and MntraAI concerning your use of Adero.

If specific additional terms conflict with these Terms, the more specific terms control with respect to the feature to which they apply, unless stated otherwise.
